1) Status, Nature of Services & No Regulated Advice
1.1 CITI VETURE GROUP – FZCO (Licence No. 24152) (“CVG UAE”, “we”, “us”, “our”) provides non-regulated consultancy, coordination and administrative support services only, strictly within the scope of its UAE Free Zone licence.
1.2 Nothing provided by CVG UAE (whether orally, in writing, by email/WhatsApp, on our website, on social media, in proposals, presentations, brochures, business plans, templates, checklists, guidance notes, or otherwise) constitutes, or shall be construed as:
• legal advice or legal services;
• regulated immigration advice or representation in any jurisdiction (including the United Kingdom);
• tax advice, accounting/audit services, financial services, investment advice, brokerage, fiduciary or trustee services;
• real estate brokerage/agency services in the UAE (including any activity requiring RERA registration); or
• any other regulated professional service requiring authorisation, licensing, registration or accreditation in the UAE or any other jurisdiction.
1.3 Any information we provide is general and administrative in nature, provided in good faith for facilitation purposes only. You must obtain independent advice from appropriately licensed professionals before acting on any information or proceeding with any transaction, application, filing, investment, or decision.
2) No Government Connection; No Influence; No Guarantee of Outcomes
2.1 CVG UAE is a private company. We are not a government body, embassy, consulate, regulator, immigration authority, endorsement body, free zone authority, bank, university, developer, broker, or decision-maker.
2.2 CVG UAE cannot and does not:
• influence, control, expedite, guarantee, procure, or secure approvals or outcomes; or
• guarantee any visa, permit, residency, endorsement, admission, licence, registration, banking outcome, compliance approval, commercial success, project completion, investment return, or timeline.
2.3 All decisions are made solely by the relevant authority or third party. Any examples, success references, statistics, or indicative timelines are illustrative only and shall not create any warranty, promise, or legitimate expectation.
3) Reliance on Client Information; No Duty to Verify
3.1 We may rely entirely on all information, documents and declarations you (or anyone acting on your behalf) provide, without independent verification.
3.2 You remain solely responsible for the truthfulness, completeness, legality, authenticity and accuracy of all information and documents supplied. CVG UAE is not liable for any loss, delay, refusal, rejection, ban, penalty, investigation, or adverse consequence arising from inaccurate, incomplete, misleading, outdated, falsified, forged, or unlawfully obtained information or documentation.
4) Business Plans, Submissions & Client-Origin Concept Disclaimer
4.1 Where a business plan, statement, profile, narrative, presentation, or similar document is prepared for licensing, immigration, endorsement, banking, compliance, or governmental purposes, the business concept, commercial rationale, assumptions, and innovative elements must originate from you.
4.2 CVG UAE’s role is limited to compiling, structuring, formatting and presenting information you provide. CVG UAE does not certify, validate, audit, or guarantee:
• originality or ownership of the concept;
• feasibility, profitability, market performance or acceptance; or
• approval by any authority, endorsement body, bank, institution, or third party.
5) Third Parties, Referrals, Associated Professionals & External Platforms
5.1 Where CVG UAE introduces or refers you to any third party (including law firms, advocates, immigration advisers, accountants, auditors, banks, developers, brokers, education providers, marketing platforms, IT vendors, courier services, translators, or overseas partners), that third party acts entirely in its own capacity and under its own terms, fees and regulatory status.
5.2 CVG UAE does not supervise, control, manage, endorse, warrant, or assume liability for any third party’s acts, omissions, advice, services, performance, fees, conduct, outcomes, regulatory compliance, or decisions. Any contract you enter into with a third party is solely between you and that third party.
5.3 CVG UAE is not liable for:
• loss, damage, delay, refusal, deactivation, suspension, bans or penalties caused by platform policy changes (e.g., online marketing/advertising, hosting, domains, social media, analytics);
• courier/postal loss or misdirection; or
• system outages, government portal downtime, cyber incidents, or other technology failures not caused by CVG UAE’s wilful misconduct or gross negligence.
6) Affiliates & No Group / No Cross-Liability / No Authority to Bind
6.1 Any entity that is described, marketed, named, branded, managed, owned, associated, affiliated, partnered, co-located, or otherwise connected with CVG UAE (including entities sharing addresses, VOIP/WhatsApp numbers, marketing materials, staff, directors, branding, or referrals) is a separate and independent legal entity, unless expressly stated otherwise in a signed written agreement.
6.2 No partnership, agency, joint venture, employer/employee, fiduciary relationship, corporate group liability, joint and several liability, or cross-liability is created or implied by any shared branding or operational convenience.
6.3 You contract solely with the legal entity named on the relevant signed agreement, engagement letter, proposal or invoice. No other entity assumes obligations to you and no other entity may be pursued for CVG UAE’s acts or omissions (and vice versa). No person or entity is authorised to bind CVG UAE unless expressly authorised in writing by a duly authorised signatory of CVG UAE.
7) Property / Investment Carve-Out (UAE + Global)
7.1 CVG UAE does not provide regulated investment advice or regulated financial services in any jurisdiction. Any property-related or investment-related information is general and non-reliance information only.
7.2 UAE property: CVG UAE is not a RERA-licensed broker/estate agent and does not undertake activities in the UAE requiring RERA registration. Any UAE property transaction is handled by independent RERA-licensed parties and/or the relevant developer directly.
7.3 Outside UAE: Where permitted under applicable local law, CVG UAE may act only as a non-regulated introducer/facilitator. CVG UAE does not guarantee value, returns, delivery, completion, suitability, or profitability of any property or investment opportunity. You must obtain independent licensed legal, tax, financial, and real estate advice before proceeding.
8) Warranty Exclusions
8.1 To the maximum extent permitted by applicable law, CVG UAE provides the Services on an “as is” and “as available” basis and disclaims all warranties except those that cannot be excluded by law.
8.2 Without limitation, CVG UAE disclaims any warranty that:
• any application, filing, or submission will be successful;
• any third party will act within any timeframe;
• any outcome will be achieved; or
• any online content will remain current, complete or error-free.
9) Limitation of Liability (Maximum Protection)
9.1 Nothing in this disclaimer excludes liability for fraud or fraudulent misrepresentation, wilful misconduct, or any liability that cannot lawfully be excluded under applicable UAE law.
9.2 Subject to clause
9.1, CVG UAE’s total aggregate liability (whether in contract, tort, negligence, misrepresentation, breach of statutory duty or otherwise) arising out of or in connection with the Services, any engagement, any online content, or any related dealings, shall be strictly limited to the fees actually paid to CVG UAE for the specific engagement giving rise to the claim.
9.3 To the fullest extent permitted by law, CVG UAE shall not be liable for any:
• indirect, consequential, special, punitive or exemplary loss;
• loss of profit, revenue, savings, business, opportunity, goodwill, reputation or anticipated advantage;
• refusal, rejection, delay, suspension, withdrawal or adverse decision by any authority or third party; or
• losses arising from your reliance on information you supplied, your acts/omissions, or your failure to obtain independent advice.
10) No Personal Liability
10.1 To the maximum extent permitted by law, no director, officer, shareholder, employee, consultant, agent or representative of CVG UAE shall incur any personal liability to you in connection with the Services, Online Content, dealings, or any engagement. Any liability (if any) attaches solely to CVG UAE as a corporate entity.
11) Non-Reliance, Entire Understanding & Priority
11.1 You acknowledge and agree that you have not relied on any statement, representation, promise, estimate, timeline, forecast, marketing material, or informal communication not expressly set out in a signed written agreement.
11.2 If there is any inconsistency between this disclaimer and any other communication (including website / social media content), the signed agreement and / or these Terms & Conditions (as applicable) shall prevail in the order of priority stated in your Terms.
CVG UAE provides non-regulated consultancy and administrative support only. We are not a law firm, immigration adviser, financial adviser, RERA broker, or regulator, and we do not guarantee outcomes or approvals. Any third-party services are provided independently under their own terms and responsibility. Information is general and non-reliance; obtain independent professional advice before acting. Liability is limited to the maximum extent permitted by UAE law.
Entity & Services Clarification
Citi Venture Group FZCO (Registration No. DSC-FZCO-22428, Licence No. 24152) is a company registered in the United Arab Emirates.
Citi Venture Group FZCO does not provide UK-based real estate advisory, marketing, advertising, or introduction services, and does not solicit or market UAE real estate investments to clients in the United Kingdom.
UAE real estate advisory and introduction services to UK-based clients are provided exclusively by Citi Venture Group UK Ltd (Company No. 11039098), a company incorporated and registered in England and Wales (www.citiventuregroup.co.uk).
Citi Venture Group FZCO does not act as a real estate broker in relation to such services, does not participate in UK-based promotional activities, and does not receive or hold client funds in connection with UK-originated property transactions.
